Public Offer

1. General provisions

This document is a public offer (art. 437(2) of the Russian Civil Code) by the seller — ОБЩЕСТВО С ОГРАНИЧЕННОЙ ОТВЕТСТВЕННОСТЬЮ НАУЧНО-ПРОИЗВОДСТВЕННАЯ КОМПАНИЯ "ЭЛМИКА", OGRN 1056166031954, INN 6166053223, Ростовская область, г.о. город Новочеркасск, г. Новочеркасск, ш. Харьковское, д. 10, помещ. 48, этаж 1, 346404 ("the Seller") — setting out the terms on which goods available to order in the shop on https://elmica.ru ("the Site") are sold to anyone who places an order ("the Buyer"). The offer is accepted by placing an order with the box "I agree to the terms of the Public Offer" ticked (art. 438(3)); no order is placed without it, and from acceptance the sale contract is concluded on these terms. For individuals it is a distance retail sale (art. 497 of the Civil Code; Retail Sale Rules, Government Decree No. 2463 of 31.12.2020); for companies and sole traders a sale on these terms, of which the invoice and accompanying documents form part. Only goods available to order with a stated price are offered; reference material on the Site is not an offer.

2. Placing an order

Orders are placed from a customer account with a confirmed email address; companies and sole traders must also have supplied their registration and bank details. At placement the cart is re-checked against current stock, prices and lead times; if anything has changed, the order is not placed and the change is shown, so the offer cannot be accepted on stale terms. A confirmation is emailed and the status shown in the account. If the goods turn out not to be deliverable, the Seller tells the Buyer at once; the Buyer may agree a substitute or cancel, and any payment is refunded within ten days.

3. Price and payment

Prices are in Russian roubles; the tax treatment is stated on the invoice. Prices depend on order volume, so a unit price in an order may differ from the product card; line and order totals are shown before the order is placed and fixed in it. Payment is made against the invoice the Seller issues after the order — by bank transfer for companies and sole traders, and for individuals also by the Faster Payments System QR code printed on the invoice. The Site itself takes no payments. Goods are reserved for the period stated on the invoice, after which an unpaid order may be cancelled.

4. Cutting to length and tolerances

Goods are supplied whole or cut to the Buyer's dimensions, subject to the item's minimum and maximum length and any cutting surcharge, both shown before the order. The delivered length may differ within the tolerance set for the product form and is the length invoiced. An order may be assembled from several warehouses and manufacturers.

5. Delivery and passing of risk

Collection from the pickup points shown at checkout and delivery by the carriers offered there are available. Delivery is priced on the carrier's tariff and shown before the order; the carrier may adjust it against the shipment actually accepted, and sets the delivery time. With carrier delivery, risk passes when the goods are handed to the carrier unless the law provides otherwise; check the packaging and the number of packages on receipt and record discrepancies in the carrier's documents. On collection, risk passes on handover.

6. Cancellation and returns

An unpaid order may be cancelled from the account. Returns of goods of proper and improper quality follow the Returns Information (https://elmica.ru/en/returns), which forms part of this offer and is also given to individual buyers on paper with the goods. Goods of proper quality cut to the Buyer's dimensions cannot be returned (art. 26.1(4) of the Consumer Rights Protection Act). For companies and sole traders, returns of goods of proper quality are by agreement.

7. Quality

Goods are supplied to the manufacturer's declared specifications; certificates and quality passports are provided on request. Reference information does not replace verifying that a material suits the Buyer's application.

8. Claims

Send claims to sale@elmica.ru marked «Претензия», or in writing to 344009, г. Ростов-на-Дону, пр-т Шолохова, д. 203, а/я 6351, with the order number and date, your details, what you ask for and why, and supporting photographs and documents. Claims are answered within ten calendar days unless the law sets another period. Disputes are resolved under Russian law; a consumer's choice of court is not restricted.

9. Personal data

The Seller processes the Buyer's personal data to fulfil the order and passes the carrier what delivery requires. Consent is given at checkout by a separate box ("I consent to the processing of my personal data on the terms of the Consent and have read the Personal Data Processing Policy"), whose date and text version are stored with the order.
